THIS IS A LEGAL AGREEMENT BETWEEN YOU AND HOSTWINDS.

By applying for, joining, accessing, using, or continuing to participate in the Hostwinds Affiliate Program, you affirmatively state that you have read, understand, and agree to be bound by the terms of this Affiliate Program Agreement (“Agreement”). If an “Accept,” “Agree,” “Sign Up,” enrollment, or similar button is presented to you, clicking that button confirms your acceptance of this Agreement. If you do not agree to this Agreement, you may not participate in the Hostwinds Affiliate Program.

This Agreement is entered into by and between Hostwinds (“Hostwinds,” “we,” “us,” or “our”) and the person or entity participating in the Hostwinds Affiliate Program (“Affiliate,” “you,” or “your”).

1. Program Enrollment

To participate in the Hostwinds Affiliate Program (“Program”), you must complete the applicable affiliate signup or enrollment process.

Hostwinds may approve, reject, suspend, or terminate any affiliate account at its sole discretion. Hostwinds may reject or terminate participation if we determine that your website, promotional methods, business practices, referral sources, content, or conduct are unsuitable for the Program.

Unsuitable content or activity includes, but is not limited to, content or activity that is unlawful, defamatory, obscene, harassing, abusive, misleading, fraudulent, infringing, promotes illegal activity, promotes violence, violates intellectual property rights, or otherwise harms Hostwinds, its customers, or the Program.

2. Affiliate Links and Tracking

Upon acceptance into the Program, Hostwinds may provide you with affiliate links, tracking links, banners, text links, coupons, promotional materials, or other approved tools (“Links”).

You may use Links to promote eligible Hostwinds services only in accordance with this Agreement and applicable law.

You may not alter, mask, obscure, modify, or misrepresent Links without prior written approval from Hostwinds.

You are responsible for ensuring your Links are properly implemented. Hostwinds is not responsible for commissions that are not tracked due to improper Link use, browser settings, user behavior, technical issues outside Hostwinds’ reasonable control, failure to use the assigned Link, or any other tracking issue not caused by Hostwinds’ intentional misconduct.

Tracking does not guarantee commission eligibility. A referral and related purchase must be valid, properly tracked, approved, and otherwise payable under this Agreement.

3. Commission Structure

Subject to this Agreement, Hostwinds will pay eligible Affiliates a 10% recurring commission on qualifying payments received for eligible new purchases of Hosting-Related Services made through a valid affiliate referral.

For purposes of this Agreement, an eligible new purchase is a newly purchased Hosting-Related Service that is properly attributed to an Affiliate through an approved Link or other approved tracking method, whether the purchasing customer is a new or existing Hostwinds customer.

A commission may apply to the qualifying initial payment and qualifying recurring renewal payments for the eligible referred Hosting-Related Service, provided the service and related payments remain eligible under this Agreement.

4. Eligible Hosting-Related Services

Commissions apply only to eligible Hosting-Related Services purchased through a valid affiliate referral, unless Hostwinds expressly approves otherwise in writing.

Hosting-Related Services may include eligible hosting plans and hosting service offerings designated by Hostwinds as commissionable through the Program.

Unless expressly approved by Hostwinds in writing, the following are not eligible for commissions:

• Domain registrations, renewals, or transfers.

• Software licenses.

• Standalone control panel, security, backup, SSL, or third-party licenses.

• Add-ons that are not designated by Hostwinds as commissionable hosting services.

• Professional services, consulting, migrations, setup fees, or support fees.

• Account credits, manual credits, promotional credits, refunds, or service adjustments.

• Custom quotes, special pricing arrangements, enterprise agreements, or manually invoiced arrangements.

• Any product, service, payment type, or transaction designated by Hostwinds as non-commissionable.

Hostwinds may identify eligible or excluded Hosting-Related Services through the affiliate portal, Program materials, written notice, or other reasonable means.

5. New Purchases and Recurring Commission Eligibility

A commission may be earned for each eligible new purchase of a Hosting-Related Service that is properly referred through an approved Link and otherwise qualifies under this Agreement.

A customer is not required to be making their first-ever purchase from Hostwinds for an eligible new purchase to qualify. A qualifying new Hosting-Related Service purchased by an existing Hostwinds customer may be eligible when it is properly tracked or otherwise approved as attributable to the Affiliate.

A recurring commission may be earned only while all of the following remain true:

• The eligible new purchase was properly tracked through your approved affiliate Link or otherwise approved by Hostwinds.

• The purchase is for an eligible Hosting-Related Service.

• The referred service remains active and in good standing for the applicable commission period.

• The related payment has been successfully received by Hostwinds.

• The payment has completed the applicable holding period.

• The payment has not been refunded, reversed, charged back, credited, disputed, or otherwise invalidated.

• The referral complies with this Agreement.

• The Affiliate remains active and in good standing with the Program.

• The related service and payment remain eligible under the then-current Program terms.

A customer’s unrelated purchases do not automatically become eligible merely because that customer previously completed a purchase through an Affiliate. Each new purchase must be separately referred, properly tracked or approved, and otherwise qualify under this Agreement.

If a referred service is canceled, unpaid, refunded, charged back, disputed, terminated, marked as fraudulent, or otherwise becomes ineligible, future recurring commissions for that service may stop immediately.

6. Valid Commissions and Invalid Referrals

A commission is valid only when it results from a legitimate, qualifying purchase of an eligible Hosting-Related Service made through your assigned affiliate Link or other approved attribution method.

A valid commission does not include:

• Purchases made by you.

• Purchases made by your business, employees, contractors, owners, officers, agents, representatives, family members, household members, related entities, commonly controlled businesses, or anyone acting on your behalf or for your benefit.

• Purchases funded, reimbursed, controlled, or improperly influenced by the Affiliate.

• Purchases associated with duplicate, fraudulent, abusive, or artificially created accounts.

• Purchases not tracked through your approved Link or otherwise approved by Hostwinds.

• Purchases completed before you joined the Program.

• Purchases marked as fraud, high-risk, abusive, or suspicious.

• Purchases that are refunded, reversed, charged back, credited, disputed, canceled, or terminated before the related commission becomes payable.

• Purchases by customers who are not current on the related payment.

• Purchases made using cryptocurrency, account credit, manual credits, promotional credits, barter arrangements, or other non-standard payment methods, unless Hostwinds expressly approves commission eligibility in writing.

• Purchases generated through prohibited advertising, spam, cookie stuffing, forced redirects, misleading claims, unauthorized incentives, or other prohibited methods.

• Purchases generated through coupon, deal, incentive, loyalty, rebate, cashback, or rewards promotions without prior written approval from Hostwinds.

• Products or services that are not eligible for Hosting-Related Services under this Agreement.

For Shared, Business, or Reseller hosting services, Hostwinds may require that the referred customer maintain an active website with a domain pointed to a Hostwinds server and user-generated or uploaded content before a commission is approved.

Hostwinds’ determination regarding commission eligibility, referral validity, abuse prevention, tracking, attribution, related-party purchases, and Program compliance is final.

7. Recurring Payments, Upgrades, and Additional Purchases

For an eligible referred Hosting-Related Service, commissions may apply to qualifying recurring renewal payments received by Hostwinds while that service remains eligible, active, and in good standing.

An upgrade, downgrade, plan change, service conversion, add-on, migration, or separate service purchase is not automatically eligible for commission. Such a transaction is eligible only if it is a qualifying new purchase of an eligible Hosting-Related Service that is separately tracked or expressly approved by Hostwinds.

A customer’s existing or unrelated services are not eligible for commissions merely because the customer later makes a qualifying affiliate-referred purchase.

Hostwinds may determine which plans, services, payments, upgrades, renewals, conversions, or transactions qualify for recurring commission treatment.

8. Commission Holding Period and Maturity

All commissions are subject to review and a 60-day holding period before they become approved and payable.

A commission becomes mature only after:

• Hostwinds has successfully received the qualifying payment.

• Sixty (60) calendar days have passed from the date the qualifying payment was successfully received;

• The related Hosting-Related Service remains eligible and in good standing during the applicable review period;

• The payment has not been refunded, reversed, charged back, credited, disputed, or otherwise invalidated; and

• The referral and Affiliate remain compliant with this Agreement.

For monthly-billed Hosting-Related Services, each qualifying payment may become commissionable after it successfully clears and completes the 60-day holding period.

For annual or longer-term billed Hosting-Related Services, the qualifying initial invoice payment may become commissionable after the payment successfully clears and completes the 60-day holding period. The Affiliate is not required to wait until the annual or longer-term service period has fully elapsed, provided the payment and service otherwise remain eligible under this Agreement.

Hostwinds may delay, withhold, deny, or reverse commissions where there is evidence of fraud, abuse, cancellation risk, refund risk, chargeback risk, suspicious referral patterns, unusually high cancellation rates, or violation of this Agreement.

Hostwinds may establish or maintain a reserve against commissions where referrals generated by an Affiliate show a high refund, cancellation, fraud, dispute, or chargeback ratio.

9. Commission Reversals and Offsets

Hostwinds may reverse, offset, or deduct previously approved or paid commissions from future payouts if the related customer payment is later refunded, reversed, charged back, credited, disputed, deemed fraudulent, or otherwise invalidated.

If there are insufficient future commissions to offset, Hostwinds may require repayment of improperly paid commissions or withhold future payouts until the outstanding amount is resolved.

10. Commission Abuse and Prohibited Referral Activity

Hostwinds may deny, reverse, offset, suspend, or permanently void commissions if Hostwinds determines, in its sole discretion, that a referral was generated through fraud, abuse, manipulation, self-referral, related-party referral, misleading advertising, prohibited incentives, duplicate accounts, artificial purchase activity, unauthorized coupon promotion, paid search abuse, or any other activity inconsistent with the intent of the Program.

A referred purchase must reflect a legitimate customer purchase of an eligible Hosting-Related Service.

Affiliates may not earn commissions from purchases made by themselves, their employees, contractors, owners, officers, agents, household members, family members, related entities, commonly controlled businesses, or any person or entity acting on behalf of or for the benefit of the Affiliate.

Affiliates may not cause, encourage, assist, or permit customers to create duplicate accounts, use alternate information, cycle services, cancel and reorder for the purpose of generating commission, or otherwise manipulate the Program.

11. Multiple Affiliate Systems and Duplicate Tracking

Hostwinds may operate more than one affiliate tracking system, affiliate portal, or referral platform during or after the transition to this Agreement.

A purchase or payment may be credited only once, even if it is tracked, reported, or appears in multiple affiliate systems.

Duplicate tracking does not create duplicate commission eligibility.

Hostwinds will determine the valid attribution source in its sole discretion.

Affiliates may not operate multiple Hostwinds affiliate accounts across multiple affiliate systems or networks without prior written approval from Hostwinds.

12. Payout Requests and Payment Schedule

Approved and mature commissions may be paid only after the Affiliate has reached a minimum payable balance of $100.00 and submitted a valid payout request through the payout method made available by Hostwinds.

Affiliate payouts will be processed on the 1st and 15th of each month, or on the next reasonably available business day if a scheduled processing date falls on a weekend, holiday, or other non-processing day.

A payout request must be received sufficiently in advance of the scheduled payment date to allow Hostwinds to review and process it. A payout request received after processing has begun may be paid on the next scheduled payout date.

Affiliates may be required to request payout by contacting Hostwinds at affiliates@hostwinds.com and providing the required affiliate account information, including the Affiliate ID, if applicable.

Hostwinds may require completion of tax documentation, identity verification, payment information, or other reasonable documentation before issuing payment.

Payments may be withheld until the Affiliate satisfies all payout requirements.

If an Affiliate’s approved and mature commission balance is below $100.00, the balance will remain pending until the minimum payout threshold is met, unless Hostwinds determines otherwise in its discretion or applicable law requires otherwise.

You must contact Hostwinds within 180 days of the original issue date to request the reissuance of any payment sent. Failure to timely request reissuance may result in forfeiture of the payment, to the extent permitted by applicable law.

13. Missing Commissions

If you believe a commission is missing from your account, you must contact Hostwinds at affiliates@hostwinds.com before requesting payout for the period in which the commission would otherwise be included.

Hostwinds will review missing commission claims in good faith; however, commissions are not guaranteed if the referral was not properly tracked, cannot be verified, was not for an eligible Hosting-Related Service, involved prohibited activity, or otherwise does not comply with this Agreement.

Hostwinds is the sole and final decision-maker regarding the validity, attribution, eligibility, and amount of commissions.

14. Prohibited Incentives, Rebates, and Coupon Promotions

Affiliates may not offer cash, rebates, credits, refunds, gifts, rewards, account funding, service reimbursement, loyalty points, cashback, or any other incentive in exchange for a customer signing up through an affiliate Link unless approved in writing by Hostwinds.

Coupon, discount, deal, cashback, loyalty, rewards, or incentive websites may not participate in the Program unless approved in advance by Hostwinds.

Affiliates may not claim to offer official, exclusive, hidden, guaranteed, special, or unpublished Hostwinds discounts unless expressly authorized by Hostwinds in writing.

If you use a custom coupon code, you may not use terms such as “coupon,” “discount,” “promo code,” or similar terms in page titles, metadata, advertisements, search engine optimization terms, or promotional content without prior written approval from Hostwinds.

Custom codes may only be placed on websites, pages, platforms, or channels approved by Hostwinds.

15. Advertising Restrictions

Affiliates may not bid on, purchase, target, or advertise using keywords, domains, search terms, audience terms, or variations that contain or are confusingly similar to Hostwinds trademarks, including but not limited to:

• Hostwinds

• Hostwinds.com

• www.Hostwinds.com

• Misspellings or variations of Hostwinds

• Domains containing Hostwinds or confusingly similar wording

Affiliates may not use domains that contain or are substantially similar to Hostwinds trademarks, including but not limited to domains such as hostwindsreview.com, hostwindscoupons.com, hostwindspromo.com, or hostwinds.org.

Affiliates may not direct-link paid advertisements to Hostwinds websites without prior written approval.

Affiliates may not create social media accounts, pages, profiles, groups, communities, advertisements, or campaigns that imply they are owned, operated, endorsed, sponsored, or controlled by Hostwinds.

Affiliates may not make false, misleading, exaggerated, or unauthorized claims about Hostwinds services, pricing, uptime, support, guarantees, refund policies, security, performance, or service capabilities.

16. Email, Spam, and Unsolicited Marketing

Affiliates may not promote Hostwinds through spam, unsolicited bulk email, unsolicited messages, automated messaging, purchased email lists, scraped contacts, or any communication that violates applicable law.

Affiliates are solely responsible for ensuring that their marketing practices comply with all applicable laws regarding email, privacy, advertising, and consumer protection.

Any violation of this section may result in immediate termination and forfeiture of unpaid commissions.

17. Responsibility for Affiliate Websites and Promotions

You are solely responsible for the development, operation, maintenance, accuracy, legality, and content of your website, advertisements, promotional materials, traffic sources, and referral methods.

You agree that your content and promotional activity will not violate any law, regulation, third-party right, intellectual property right, privacy right, or Hostwinds policy.

You must have proper authorization to use any copyrighted, trademarked, or proprietary material belonging to another party.

Hostwinds is not responsible for your website, content, marketing activity, representations, omissions, or legal compliance.

18. Prohibited Conduct

Hostwinds may immediately suspend or terminate your participation in the Program if we determine that you have engaged in prohibited conduct, including but not limited to:

• Spam or unsolicited bulk messaging.

• Misleading, false, or deceptive advertising.

• Fraudulent referrals or purchase activity.

• Self-referrals.

• Related-party referrals.

• Cookie stuffing.

• Hidden iframes or unauthorized tracking.

• Forced clicks or forced redirects.

• Traffic exchanges.

• Bot traffic.

• Fake leads.

• Incentivized traffic without approval.

• IP harvesting.

• Pop-up or pop-under advertising without approval.

• Misrepresenting Hostwinds services, pricing, support, guarantees, or policies.

• Providing inaccurate or incomplete information to Hostwinds.

• Attempting to cheat, defraud, or mislead Hostwinds.

• Referring customers through unauthorized incentives.

• Advertising on referred customers’ websites without authorization.

• Creating duplicate affiliate accounts.

• Operating multiple Hostwinds affiliate accounts without approval.

• Attempting to claim duplicate commissions through multiple affiliate systems.

• Attempting to claim commissions on ineligible products or services.

• Any conduct Hostwinds determines to be abusive, fraudulent, misleading, or harmful to Hostwinds, its customers, or the Program.

19. Information Disclosure and Audit Rights

Hostwinds may request information about your referral sources, promotional methods, websites, advertisements, traffic sources, campaigns, or other activity related to the Program.

You agree to provide accurate and complete information upon request.

Failure to provide requested information may result in suspension or termination from the Program.

If Hostwinds determines that your referral methods violate this Agreement, you may forfeit pending and future commissions.

20. Term and Termination

This Agreement begins when you apply for, join, access, use, accept, or continue participating in the Program and continues until terminated by either party.

Either you or Hostwinds may terminate this Agreement at any time, with or without cause, by providing notice. Notice by email to the address on file is sufficient.

Hostwinds may immediately suspend or terminate your participation in the Program if you violate this Agreement, engage in fraud or abuse, provide misleading information, generate invalid referrals, or otherwise act in a manner Hostwinds determines is harmful to the Program.

If Hostwinds terminates your participation due to violation of this Agreement, fraud, abuse, prohibited conduct, or other misconduct, you will not be eligible to receive unpaid commissions, including commissions generated before termination.

If this Agreement is terminated for any other reason, you may remain eligible for valid commissions that became mature before termination, provided the related referrals remain valid, approved, and payable under this Agreement. Hostwinds may, in its discretion, approve additional valid pending commissions after the applicable holding period has passed.

Hostwinds may withhold the final payment for a reasonable period to confirm the validity of the commission and determine whether any reversals, offsets, refunds, disputes, or chargebacks apply.

Terminated accounts may not reapply to the Program without Hostwinds’ express written consent.

21. Modification of Agreement and Program

Hostwinds may modify this Agreement, the Program, commission rates, eligible services, holding periods, payout procedures, payout thresholds, tracking systems, or Program rules at any time, in its discretion.

Changes may take effect immediately where Hostwinds determines immediate action is appropriate, including for fraud prevention, abuse prevention, legal compliance, security, operational requirements, payment processing requirements, Program integrity, or changes to eligible products or services.

Notice may be provided by email, by posting an updated agreement on Hostwinds’ website, through the affiliate portal, or by other reasonable means.

Unless otherwise stated, modifications will take effect upon notice or posting. Your continued participation in the Program after a modification becomes effective constitutes acceptance of the modified terms.

If you do not agree to a modification, your sole remedy is to stop participating in the Program.

22. Transition from Prior Affiliate Terms

Effective June 20, 2026, this Agreement replaces and supersedes all prior Hostwinds affiliate terms, commission schedules, payout structures, Program descriptions, and related affiliate agreements, unless Hostwinds expressly agrees otherwise in writing.

Commissions generated from purchases or payments occurring before June 20, 2026, may be handled under the prior commission structure, where applicable.

Commissions generated from eligible purchases or payments occurring on or after June 20, 2026, are governed by this Agreement and the updated commission structure.

The prior affiliate terms URL may no longer display the full affiliate terms after June 20, 2026, and may redirect or refer Affiliates to the current Hostwinds Affiliate Program Agreement.

Your continued participation in the Program on or after June 20, 2026, constitutes acceptance of this Agreement.

23. Relationship of the Parties

You and Hostwinds are independent contractors.

Nothing in this Agreement creates a partnership, joint venture, franchise, agency, employment, or sales representative relationship.

You have no authority to make or accept offers, promises, warranties, representations, or obligations on behalf of Hostwinds.

You may not state or imply that you are employed by, controlled by, endorsed by, sponsored by, or authorized to bind Hostwinds.

24. Confidentiality

During your participation in the Program, Hostwinds may disclose confidential, proprietary, business, technical, financial, customer, vendor, Program, tracking, or commission-related information (“Confidential Information”).

You agree not to disclose or use Confidential Information except as necessary to participate in the Program.

Confidential Information does not include information that is generally available to the public, lawfully obtained from a third party without restriction, or required to be disclosed by law or legal process.

25. Representations and Warranties

You represent and warrant that:

• You have the legal authority to enter into this Agreement.

• Your participation in the Program will comply with all applicable laws and regulations.

• Your website, content, advertising, traffic sources, and referral methods will not infringe or violate any third-party rights.

• You will not make misleading, false, exaggerated, or unauthorized statements about Hostwinds.

• You will not engage in fraud, abuse, spam, or prohibited conduct.

• All information you provide to Hostwinds is accurate and complete.

• You will comply with this Agreement and all Program rules.

26. Indemnification

You agree to indemnify, defend, and hold harmless Hostwinds, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your participation in the Program.

• Your website, content, advertising, traffic sources, or promotional activity.

• Your breach of this Agreement.

• Your violation of any law, regulation, or third-party right.

• Any claim that your content, trademarks, materials, or promotional methods infringe or violate the rights of another party.

• Your false, misleading, or unauthorized representations regarding Hostwinds.

27. Disclaimers

The Program is provided on an “as is” and “as available” basis.

Hostwinds makes no express or implied warranties regarding the Program, tracking systems, affiliate portal, payment timing, Hostwinds services, or any products or services sold through the Program.

Hostwinds does not guarantee uninterrupted or error-free operation of its websites, systems, tracking tools, affiliate platform, or payment processes.

Hostwinds does not guarantee that participation in the Program will result in commissions, revenue, traffic, customers, or any particular business outcome.

28. Limitation of Liability

To the fullest extent permitted by law, Hostwinds will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost commissions, lost data, or business interruption, arising out of or related to this Agreement or the Program.

Hostwinds’ total liability arising out of or related to this Agreement or the Program will not exceed the amount of valid, approved, unpaid commissions owed to you for the applicable referral giving rise to the claim.

Hostwinds reserves the right to withhold, deny, reverse, offset, or void commissions where permitted by this Agreement.

29. Taxes

You are responsible for all taxes, reporting obligations, and governmental requirements arising from commissions paid to you.

Before a payout may be issued, Hostwinds may require you to submit a completed W-9, W-8, or other applicable tax form.

Hostwinds may issue tax forms, including Form 1099, where applicable, when required by law.

30. Dispute Resolution and Binding Arbitration

By participating in the Program, you agree that any dispute, claim, or controversy arising out of or related to this Agreement or the Program will be resolved through binding arbitration, unless otherwise prohibited by applicable law.

The arbitration provider, arbitration rules, location, and allocation of costs will be determined as stated by Hostwinds or as otherwise required by applicable law.

The arbitrator’s decision will be final and binding, subject only to any rights of review or enforcement available under applicable law.

Nothing in this section prevents either party from seeking temporary or injunctive relief in a court of competent jurisdiction where necessary to protect intellectual property, Confidential Information, Program integrity, or other legally protectable rights.

31. Governing Law

This Agreement will be governed by applicable United States federal law and any applicable state law determined under ordinary conflict-of-law principles, without applying any rule that would require the application of a law inconsistent with this Agreement.

32. Assignment

You may not assign, transfer, sell, or delegate this Agreement, your affiliate account, or your rights to commissions without prior written consent from Hostwinds.

Hostwinds may assign this Agreement in connection with a merger, acquisition, corporate restructuring, sale of assets, or transfer of business operations.

33. Entire Agreement

This Agreement constitutes the complete agreement between you and Hostwinds regarding the Program and supersedes all prior or contemporaneous agreements, communications, representations, or understandings regarding the Program, unless otherwise expressly stated in writing by Hostwinds.

34. Severability and Waiver

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Hostwinds’ failure to enforce any provision of this Agreement does not waive its right to enforce that provision or any other provision in the future.
